About
Our team is growing, and we are looking for a Senior Lawyer (Contractor) who can independently assess legal risk, make and own decisions on how the company should operate, and mentor the Middle-level Lawyer already on our team. This role also requires confidently representing the company on client calls, independently leading discussions with clients' legal counsel and procurement teams.
It is a part-time ​position. 

What We’re Looking For
  • 7+ years of experience as a Lawyer / In-house Counsel in IT, at a senior level -able to independently evaluate legal risks, make and own strategic legal decisions for the company, and mentor the Middle-level Lawyer already on the team
  • Strong negotiation skills, including experience negotiating with enterprise procurement and legal teams - liability caps, indemnification, SLA penalty structures, and vendor security/compliance requirements (e.g., SOC 2, ISO 27001) - and the ability to confidently represent and safeguard the company's interests in client-facing calls and negotiations
  • Excellent business Ukrainian and English (Upper-Intermediate+), strong business correspondence skills, and confident client-facing communication - able to actively participate in client calls and independently lead calls with clients' legal counsel
  • Solid experience supporting corporate clients both on outsourcing engagements and with in-house/own products, ideally including SaaS or software products sold into regulated industries
  • Working knowledge of EU, UK, and US legal and regulatory frameworks relevant to Healthcare, Insurance, and Financial Services clients (e.g., GDPR / UK GDPR, HIPAA, US state privacy laws, DORA, and insurance regulatory regimes
  • Personal Traits & Competencies: Analytical, structured thinker with strong problem-solving skills; detail-oriented and systematic approach to work; high sense of ownership and accountability; strong team player, comfortable mentoring and guiding colleagues; proactive, goal-driven, and able to work independently

Will be a plus
  • Familiarity with Poland, Estonia, and Cyprus corporate law is a plus (for group entity structuring purposes)

Your Responsibilities
  • Contracts and Due Diligence
    - Draft, review, and negotiate client contracts (MSA, SOW, NDA, Service Agreements) for outsourcing engagements, including complex negotiations with enterprise clients' procurement and legal teams
    - Own the end-to-end due diligence process - client requests, background checks, security/vendor risk questionnaires, and risk assessment
  • Corporate and Regulatory Compliance
    - Support corporate procedures: amendments to constitutional documents, shareholder/participant resolutions, and the group's corporate structure
    - Ensure the company's compliance with Ukrainian law and the laws of jurisdictions where it has offices, subsidiaries, or clients, including the EU, UK, and US
    - Lead legal support for setting up new legal entities or representative offices when entering new markets or scaling
    - Support relocation and multi-jurisdictional employment matters (EOR, employees working remotely from abroad)
  • Data Protection
    - Ensure compliance with GDPR (EU), UK GDPR and the Data Protection Act 2018 as amended by the Data (Use and Access) Act 2025, Ukraine's Law on Personal Data Protection, applicable US state privacy laws (e.g., CCPA/CPRA), and sector-specific regimes such as HIPAA and GLBA, as needed.
    - Draft Privacy Policy, Data Processing Agreements (DPA), Business Associate Agreements (BAA), and Cookie Policy for client projects and the company's own product
    - Advise project teams on lawful data processing and cross-border data transfer mechanisms (e.g., SCCs, UK IDTA) within outsourcing contracts
  • Intellectual Property
    - Protect the company's IP: trademark registration and software copyright protection
    - Develop and enforce IP assignment / work-for-hire provisions in employment and civil-law contracts
    - Review and monitor open-source compliance in own products and client solutions
    - Protect trade secrets and know-how through NDAs, confidentiality policies, and access controls
    - Advise on software licensing — both third-party licenses and the company's own product
  • Product Legal Support
    - Draft Terms of Service, End User License Agreement (EULA), SaaS Agreement, Service Level Agreement (SLA), and distribution/reseller agreements for the company's product line
    - Prepare legal documentation for new-market entry, factoring in local regulatory requirements.
    - Advise product and commercial teams on the legal risks of new features and business models.
    - Contribute to the company's AI Usage / AI Governance Policy for client engagements and AI-enabled product features (see Insurance and Regulated-Industry Compliance above for insurance-specific AI obligations)
  • Disputes and External Counsel
    - Lead pre-litigation dispute resolution with clients, partners, and employees 
    - Coordinate with external legal counsel in foreign jurisdictions as needed
  • Client Relationships and Leadership
    - Actively participate in client calls, negotiate, and independently lead calls with clients, legal counsel and procurement teams
    - Act as a strategic legal advisor to management, owning key legal decisions for the company
    - Mentor and support the professional growth of the Middle-level Lawyer on the team
